Our business attorneys draw on extensive practice experience and legal expertise in working with clients to achieve business objectives. Our clients include individuals, entrepreneurs, large and small business organizations, government agencies, nonprofit organizations, academic institutions, and a variety of joint ventures. Our engagements include special transaction-based engagements, limited engagements as co-counsel for health care matters, and continuing relationships as general counsel for clients. We are experienced in working with a range of business transactions:

  • The structure, formation and documentation of new organizations and business ventures. We have facilitated group and multiple party discussions leading to venture formation, and acted as venture counsel. Our experience includes formation of professional practice entities, start-up companies and enterprises, joint ventures in health care and other industries, real estate investments, tax-exempt organizations, special purpose networks and associations, and a variety of other entities. We provide advice concerning the appropriate choice of corporate entity, governance, venture finance and capital formation, tax planning, and development of key contracts and documentation.
  • State tax counseling.
  • Counseling on governance structures, duties, liabilities, and compliance issues for governing boards; advice to boards on compliance issues.
  • Advice to national companies concerning health law issues in the state of Washington such as corporate practice of medicine, licensing, insurance regulation and other issues.
  • Mergers and acquisitions/sales of businesses involving nonprofit organizations, transactions, commercial enterprises, professional entities, and transactions among them.
  • Real estate development.
  • Financing for health care and other enterprises, including representation of borrowers in tax-exempt bond financing.

Although our business practice reflects the health care emphasis of our firm, we regularly represent clients in other industries including social services, manufacturing, and technology companies. In addition to expertise in the law, our attorneys are skilled in negotiation and preparation of documents, and recognize the importance of timely, responsive service to clients.
